By accessing our website, purchasing a service, submitting an onboarding form, approving a proposal, or using a BlackFlow workflow, you agree to these Terms. If you are using the services for a company or other organization, you represent that you have authority to accept these Terms on its behalf.
1. BlackFlow Services
BlackFlow provides business automation and workflow services, including AI-assisted lead-response systems, lead tracking and follow-up automation, SMS and email workflow configuration, appointment-scheduling integrations, recordkeeping organization, receipt upload and indexing, cloud-storage configuration, workflow monitoring, troubleshooting, and technical support. Specific services, limits, pricing, and deliverables are determined by the applicable proposal, payment page, order form, onboarding document, or written agreement.
2. No Professional Advice
BlackFlow provides technology and recordkeeping-organization tools. BlackFlow does not provide bookkeeping, tax preparation, tax advice, accounting services, legal advice, financial planning, investment advice, or medical advice. You are responsible for reviewing your records and consulting qualified professionals.
3. Customer Responsibilities
You agree to provide complete and accurate onboarding information; maintain accurate contact and billing information; provide approved account access; review workflow outputs; protect login credentials; use services lawfully; obtain necessary permissions and consent; follow applicable laws; and promptly notify BlackFlow of suspected unauthorized use.
4. Customer Data and Third-Party Services
Customers retain ownership of submitted information and business records. You grant BlackFlow limited rights to access and process customer data as necessary to configure, operate, support, secure, and improve workflows. Services may depend on platforms such as Framer, Zapier, Airtable, Twilio, Calendly, Stripe, Tally, Google, Microsoft, and AI providers. BlackFlow is not responsible for third-party outages, API changes, feature removal, rate limits, provider pricing changes, or data loss caused by third-party providers.
5. SMS and Communications
You may receive text messages from BlackFlow if you provide your telephone number and consent. Message frequency varies and message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out or HELP for assistance. Customers using BlackFlow to send messages are responsible for obtaining legally sufficient consent, honoring opt-out requests, and complying with applicable communications laws.
6. Fees, Cancellations, and Availability
Fees are stated on the applicable proposal, invoice, Stripe page, payment link, or order form. Setup fees become nonrefundable once work begins. Monthly subscriptions renew until canceled and may be suspended for nonpayment. We may update, modify, suspend, or discontinue portions of a service to improve performance, address security concerns, comply with law, or accommodate provider changes.
7. Disclaimer, Liability, and Governing Law
To the maximum extent permitted by law, services are provided “as is” and “as available.” BlackFlow disclaims warranties of uninterrupted, error-free, or completely accurate operation. BlackFlow will not be liable for indirect, incidental, consequential, or punitive damages. These Terms are governed by the laws of the State of Arizona, and legal action must be brought in a court with jurisdiction in Maricopa County, Arizona, unless applicable law requires otherwise.

9. Fees, Setup Charges, and Subscriptions
Fees are stated on the applicable proposal, invoice, Stripe page, payment link, or order form. Setup fees are charged for configuration and onboarding work, may not begin until payment is received, and become nonrefundable once configuration begins. Monthly fees are billed in advance and subscriptions renew until canceled. Third-party usage, SMS, email, AI, software, or storage charges may be subject to limits or additional fees. Failure to pay may result in suspension or termination.
10. Cancellations and Refunds
You may cancel a monthly subscription by contacting contact@blackflowtechnologies.com before the next billing date. Cancellation prevents future renewals but does not ordinarily provide a refund for setup fees after work begins, completed onboarding work, the current subscription period, third-party costs, incurred usage, or custom development.
11. Service Changes, Maintenance, and Availability
We may update, modify, replace, suspend, or discontinue parts of a service to improve performance, address security concerns, correct errors, accommodate provider changes, comply with law, or prevent misuse. We do not guarantee uninterrupted, instantaneous, or error-free operation.
12. Acceptable Use
You may not use the website or services to violate law; send spam or unlawful marketing messages; contact people without required permission; harass, threaten, deceive, or impersonate others; collect information unlawfully; transmit malware; interfere with security controls; attempt unauthorized access; process illegal transactions; upload unlawful content; or resell, copy, reverse engineer, or distribute BlackFlow systems without written authorization.
13. Intellectual Property
BlackFlow retains ownership of its workflow designs, templates, automation structures, prompts, documentation, branding, website content, training materials, processes, software configurations, and other intellectual property. Subject to payment and compliance with these Terms, BlackFlow grants a limited, nonexclusive, nontransferable right to use the configured service for internal business purposes.
14. Confidentiality
Each party agrees to use reasonable care to protect nonpublic business information received from the other party and to use it only for providing or receiving services.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BLACKFLOW DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKFLOW WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES. BLACKFLOW’S TOTAL LIABILITY ARISING FROM A SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO BLACKFLOW FOR THAT SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless BlackFlow and its owner, contractors, and service providers from claims arising from your customer data, misuse of the services, messages you send or authorize, failure to obtain consent, violations of law, violations of these Terms, or infringement caused by content you provide.
18. Suspension and Termination
BlackFlow may suspend or terminate service for nonpayment, unlawful or abusive activity, security risks, violations of these Terms, failure to provide required access or information, third-party restrictions, or conduct that creates material risk.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Arizona. Any legal action relating to these Terms or services must be brought in a state or federal court with jurisdiction in Maricopa County, Arizona, unless applicable law requires otherwise.
20. Changes to These Terms
We may update these Terms as our services, providers, or legal obligations change. Updated Terms will be posted with a revised Last updated date.
21. Entire Agreement
These Terms, the Privacy Policy, and any applicable proposal, invoice, order form, or written service agreement make up the agreement between you and BlackFlow.
